All matters relating to access to or use of the Website, including any disputes, will be governed by the laws of the United Arab Emirates, specifically the laws of the Emirate of Dubai, as applicable in the Dubai International Financial Centre (DIFC). Any disputes arising out of or in connection with this Agreement, including any questions regarding its
existence, validity, or termination, shall be referred to and finally resolved by the courts of the DIFC, which shall have exclusive jurisdiction. YOU AGREE TO RESOLVE ANY DISPUTES ON AN INDIVIDUAL BASIS AND WAIVE YOUR
RIGHTS TO FILE OR PARTICIPATE IN CLASS ACTIONS OR SEEK RELIEF ON A CLASS OR REPRESENTATIVE BASIS.
If you are residing outside the United Arab Emirates, MKX may, at its sole discretion, elect to resolve disputes through mediation or arbitration in accordance with the rules of a recognized alternative dispute resolution institution. The arbitral tribunal shall be composed of one arbitrator. The arbitration will take place in Dubai, United Arab Emirates,
and the proceedings will be conducted in English. The decision of the arbitrator shall be final and binding on the parties and may, if necessary, be reduced to a judgment in any court of competent jurisdiction. The prevailing Party shall be entitled to any and all arbitration costs, including reasonable attorney’s fees, incurred in enforcing this Agreement, bringing a lawsuit for breach of this Agreement or defending a lawsuit arising out of this Agreement. This agreement to arbitrate shall survive any termination or expiration of the Agreement. However, notwithstanding anything to the contrary, MKX retains the right to initiate legal proceedings, including equitable, injunctive relief, and to enforce an arbitration award in any court of competent jurisdiction. If any court determines that specific provisions of these Terms of Use are not legally valid or unenforceable, those invalidated provisions will be deemed limited or eliminated to the
minimum extent necessary and replaced with a valid provision that best embodies the intent of these Terms of Use, so that these Terms of Use shall remain in full force and effect.
